BERLIN / RankWire.AI / – German automotive producer Volkswagen AG reached an agreement on Monday to transfer ownership of its Osnabrück assembly plant to Israeli private equity firm Aurelius Capital along with the German state of Lower Saxony. Under the preliminary deal, the new owners will transform the vehicle production site into a dedicated facility for security and defense manufacturing. This strategic move marks the first significant shift of a German car factory towards the production of military hardware amid ongoing restructuring within Europe’s automotive industry. Israel Aurelius German state to take over VWs Osnabrück plant defense projects to supply air defense equipment for European security markets.

Under the joint ownership arrangement, Aurelius Capital, based in Tel Aviv, will hold the majority stake in the facility, while Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority interest. The initial key project for the revamped site involves a manufacturing partnership with Israeli defense contractor Rafael Advanced Defense Systems, which is state-owned. Production plans center on manufacturing specialized systems and mechanical components for air defense infrastructure intended for Germany and allied European nations.

The decision to repurpose Osnabrück follows Volkswagen’s 2024 strategic plan to cease passenger vehicle assembly at this plant by mid-2027 due to persistent industrial overcapacity. According to statements from the factory works council, the defense manufacturing agreement aims to preserve around 1,200 specialized technical roles at the site. European automakers are exploring alternative industrial conversions like this as part of a broader effort to absorb excess manufacturing capacity across the continent.

Executives at Volkswagen highlighted that the sale aligns with the company’s larger efficiency initiatives aimed at streamlining operations across Europe. Volkswagen AG CEO Oliver Blume explained that this deal provides a sustainable industrial outlook for the Osnabrück plant while also fulfilling corporate commitments to the local workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, noted that the facility possesses precise manufacturing capabilities and a skilled technical workforce suitable for advanced defense production.

This restructuring comes amid increasing financial pressures on traditional European car manufacturers, which face declining demand for battery-electric models, high energy costs domestically, and stiff competition from international rivals. Labor union representatives from IG Metall acknowledged that converting civil automotive lines to defense production offers crucial job security for regional workers after months of employment uncertainty.

The deal remains contingent upon final contractual agreements, approval from relevant supervisory boards, and formal clearance from German antitrust authorities. Financial details, overall valuation, and specific equity sharing ratios between Aurelius Capital and Lower Saxony have not been publicly disclosed by the involved parties.

Industry analysts in defense emphasize that shifting automotive infrastructure toward military hardware reflects rising defense budgets across European NATO member countries. Joint oversight committees will oversee regulatory filings and transitional milestones as Volkswagen prepares to wind down vehicle production lines before full operational transfer. Official updates regarding approvals and facility conversions will be issued through regulatory channels.
